Diversity of Board Members
The Company has established the "Code of Corporate Governance Practices" and the "Rules for Election of Directors and Supervisors". Article 20 of the "Code of Corporate Governance Practices" stipulates that the composition of the Board of Directors should take into account the diversity of the Board of Directors and should be formulated in accordance with the Company's own operation, business model and development needs, and should include, but not be limited to, the basic qualifications and values (such as gender, age, nationality, culture, etc.) and the expertise and skills (such as professional background such as law, accounting, industry, finance, marketing or technology, etc.), professional skills and industry experience, etc. The Board should be composed of a wide range of individuals, and should include, but not be limited to, the following background such as law, accounting, industry, finance, marketing or technology, etc.), professional skills and industry experience.
Currently, the Company has 9 directors (one of whom has resigned), 3 of whom are independent. The professional background of the directors covers management, accounting, finance, non-woven industry, etc., and they are accountants and university professors, etc., so they are able to give professional advice from different perspectives, which is very helpful in enhancing the Company's operating performance and management efficiency. The Company also emphasizes gender equality in the composition of its board of directors. The target ratio of female directors is 10%, and currently there is one female director among the eight directors, with a ratio of 12.5%, which is in line with the target.
